THESE TERMS OF SERVICE GOVERN YOUR SUBSCRIPTION TO AND USE OF THE SERVICES. PLEASE READ THEM CAREFULLY. BY COMPLETING THE REGISTRATION PROCESS, CREATING AN ACCOUNT, OR ACCESSING OR USING ANY PART OF THE SERVICES, YOU REPRESENT AND WARRANT THAT:
YOU HAVE READ, UNDERSTAND, AND AGREE TO BE LEGALLY BOUND BY THESE TERMS;
THE INFORMATION YOU PROVIDE DURING REGISTRATION IS TRUE, ACCURATE, AND COMPLETE;
YOU HAVE THE AUTHORITY TO ENTER INTO THIS AGREEMENT ON BEHALF OF YOURSELF OR THE BUSINESS ENTITY OR EDUCATIONAL INSTITUTION YOU REPRESENT, AND TO BIND SUCH ENTITY OR INSTITUTION TO THESE TERMS.
ONCE ACCEPTED, THESE TERMS, TOGETHER WITH OUR PRIVACY POLICY, DATA PROCESSING AGREEMENT, AND advertising agreement for affiliates (WHERE APPLICABLE) (COLLECTIVELY THE “TERMS”), FORM A LEGALLY BINDING AGREEMENT BETWEEN YOU (OR YOUR BUSINESS ENTITY OR EDUCATIONAL INSTITUTION) AND RAZOR SPARROW LLC, INCLUDING ITS OFFICERS, DIRECTORS, MEMBERS, BUSINESS AFFILIATES, SUCCESSORS, AND ASSIGNS (REFERRED TO AS “RAZOR SPARROW,” “WE,” OR “US”). THESE TERMS GOVERN YOUR ACCESS TO AND USE OF RAZOR SPARROW SERVICES AND ALL OTHER INTERACTIONS WITH RAZOR SPARROW.
If you are entering into this Agreement on behalf of a business entity or educational institution, you confirm that you have the legal authority to bind that entity or institution. In such cases, references to “you” or “your” in these Terms refer to that entity or institution. If you do not have such authority, or if you disagree with any provision of these Terms, you must discontinue use of the Service or contact us at [email protected].
We continuously strive to improve and are committed to providing useful services for teachers, schools, and businesses. We welcome your feedback and encourage you to reach out with questions or suggestions.
Razor Sparrow reserves the right to modify these Terms at any time to reflect changes in the law, improvements to our Service, or other operational needs. Any modifications will be posted on this page and will become effective as follows:
Immediate Effect – Changes addressing new functionalities, security updates, or legal compliance will take effect immediately upon posting.
Standard Notice Period – All other modifications will become effective thirty (30) days after they are posted, unless you accept the changes sooner by continuing to use the Service.
Your continued use of the Service following the posting of any changes constitutes your acceptance of the updated Terms. If you do not agree to any modifications, you must discontinue use of the Service.
Razor Sparrow will not change how we handle student data without providing advance notice and obtaining necessary consent from a School Official or Institution. Please refer to our Privacy Policy for details on data handling practices.
Razor Sparrow LLC (“Razor Sparrow”) provides a range of services accessible through razorsparrow.com (the “Razor Sparrow Website”) and associated Chrome extensions and software, including but not limited to GradeTransferer, Email-My-Students, Calm Wave, and VoiceGrader (collectively, the “Service”). Razor Sparrow may introduce new services in the future, which will also be governed by these Terms.
By using the Service, you agree to be legally bound by this Agreement, including our Privacy Policy and any additional terms governing specific features or functionalities. If you are using the Service on behalf of an institution that has a separate written agreement with Razor Sparrow, that agreement will take precedence over these Terms only in areas it explicitly governs. For all other aspects not addressed in that separate agreement, these Terms of Service will continue to apply.
Razor Sparrow endeavors to maintain 24/7 availability of its Service but does not guarantee uninterrupted operation. We reserve the right to suspend or restrict access to certain features at our discretion. Razor Sparrow shall not be liable for any unavailability, temporary or otherwise, nor for any loss of data.
To access certain features of the Service, users must create an account and provide accurate and truthful registration information. Users may log in through standard authentication methods or via third-party authentication providers such as Google or Microsoft. For Partnerships and School/District purchases, accounts may be created on behalf of users by Razor Sparrow, a district, or an administrator.
Users are responsible for maintaining the confidentiality of their login credentials and must not share access with unauthorized parties. The following security measures apply:
Users must create strong passwords and update them periodically.
A password reset option is available if credentials are forgotten.
Razor Sparrow must be notified immediately in the event of unauthorized account access.
Razor Sparrow reserves the right to disable accounts that violate these Terms.
Account sharing, resale, or unauthorized transfer of access is strictly prohibited. Users may not allow any third party to use their account or act on their behalf within the Service. If Razor Sparrow determines that a user has engaged in unauthorized account sharing or transfer, it may suspend or terminate access to the Service at its discretion.
By using the Service, you consent to Razor Sparrow’s collection and use of your information as outlined in our Data Processing Agreement. Razor Sparrow has no responsibility for the deletion or failure to store any information or content maintained or transmitted through the Service. Additionally, Razor Sparrow may access and monitor user accounts, including those of customers, for support, security, or enforcement purposes.

Individual Subscriptions:
Individuals may subscribe to the Service at any time through our website. A valid credit card is required to authorize payment at the beginning of the subscription period. If the subscription is not canceled before the end of the first billing cycle, the supplied payment method will be charged according to the selected plan.
School & District Purchases:
Schools and districts are not permitted to purchase individual subscriptions intended for teachers or staff. Institutions must purchase one of Razor Sparrow’s approved School/District plans to ensure proper staff rostering, compliance, and administrative oversight. If a school or district is found to have purchased individual accounts instead of an institutional plan, Razor Sparrow reserves the right to suspend or terminate such accounts and require the institution to transition to an appropriate plan.
Billing & Renewal:
Billing cycles are charged either monthly or annually. Subscribers will receive an email reminder seven (7) days before automatic renewal. Subscriptions can be canceled at any time through the customer portal, accessible from within the service interface, through our website, by submitting a support ticket, or by contacting [email protected]. Cancellation prevents future renewals but does not entitle users to refunds for unused time. The Service remains accessible until the end of the current billing period.
One-Time Purchases (Non-Subscription Services)
Razor Sparrow may offer one-time purchases for parts of the Service, including but not limited to digital courses, standalone tools, or premium content. One-time purchases are charged at the time of sale and do not renew automatically. These purchases are non-refundable unless otherwise stated at the time of purchase or required by law.
Payment Processing:
Razor Sparrow does not store credit card information. All transactions are processed securely through Stripe (stripe.com) or other authorized third-party payment processors. Users are responsible for ensuring their payment information is accurate and up to date to avoid service interruptions.
Most Razor Sparrow services offer a 7-day free trial, which begins when the user gains access to the Service after agreeing to these Terms. If a software issue interferes with proper functionality, Razor Sparrow may extend or pause the trial duration at its discretion.
Trial periods are not intended to be used consecutively. If we determine that a user is engaging in back-to-back trials to avoid paying a subscription fee, Razor Sparrow reserves the right to suspend or terminate the user’s access to the Service without further notice.
All payments for both individual Teacher subscriptions and School/District subscriptions are final and non-refundable. The only exceptions are:
Merging Individual Accounts into a School/District Plan:
If an individual account is merged into a School/District account and the institution is covering the cost, we may issue a pro-rated refund for the unused portion to prevent double payment.
Cancellation & Refund Requests within 15 Days of Renewal:
School/District Accounts: 95% of the renewal fee will be refunded.
Individual Accounts: The renewal fee will be refunded minus a $2 processing fee.
Refund requests must be submitted in writing to [email protected] or via support ticket. Requests received more than 15 days after renewal are ineligible for refund consideration.
If a payment is declined, we will reattempt the charge for seven (7) business days. If unsuccessful, Razor Sparrow may suspend or cancel the account for non-payment. Users must settle outstanding balances, including any chargeback fees or penalties, through alternative payment methods.
Disputed Charges:
- If you dispute a charge, you must notify us in writing within 30 days of the invoice date.
- While the dispute is pending, all invoiced fees must be paid or the right to dispute is waived.
- Users must act in good faith and cooperate to resolve disputes.
- Razor Sparrow’s final determination regarding disputed fees is binding.
If legal action is required to collect outstanding payments, users agree to reimburse Razor Sparrow for all associated costs, including legal fees.
Users may cancel their subscription at any time through the customer portal, by submitting a support ticket, or by calling our support team at +1 (888) 752-7337 (Toll-free). Users are solely responsible for ensuring proper cancellation. Failure to cancel does not entitle users to a refund.
Users are prohibited from reselling lifetime access to Early Adopter promotion accounts or standalone features of the Service without prior written approval from Razor Sparrow. Razor Sparrow reserves the right to revoke any granted exceptions at its sole discretion.
Razor Sparrow strives to provide a safe and secure Service, but we need your cooperation to maintain its integrity. By using the Service, you agree to the following commitments:
You will only use the Service as permitted by law, including applicable export or re-export control laws and regulations.
You will not collect users' content or information, or otherwise access the Service, using automated means (such as harvesting bots, robots, spiders, or scrapers).
You will not collect, solicit, or otherwise obtain login information or access an account belonging to someone else.
You will not collect, use, or disclose data, including personal information, about other users without their consent or for unlawful purposes or in violation of applicable laws or regulations. You will not use the Service to engage in unlawful, deceptive, misleading, unethical, malicious, or discriminatory activities.
You will not interfere with or disrupt the proper working or appearance of the Service, including but not limited to denial-of-service attacks, exploits, or any other activity that may overburden or disable the Service.
You will not impersonate a Razor Sparrow employee or any other person, nor falsely state or misrepresent your affiliation with any person or entity.
You will not facilitate, encourage, or engage in any activities that violate these Terms or any other Razor Sparrow policies.
You may only use the Service for lawful purposes and in accordance with these Terms. Specifically, you agree that:
You will not misrepresent Razor Sparrow or its Services in any capacity.
You will not provide access to the Service to a direct competitor of Razor Sparrow.
You will not directly or indirectly reverse engineer, decompile, disassemble, or otherwise attempt to uncover the source code, object code, or underlying structure, ideas, know-how, or algorithms related to the Service.
You will not modify, translate, or create derivative works based on the Service, except where expressly permitted.
You will not remove any proprietary notices or labels.
You are responsible for ensuring that your use of the Service complies with all applicable laws and regulations, including but not limited to:
Data Privacy Laws: COPPA, CIRPA, SOPPA, FERPA, SOPIPA, NY Ed-Law 2d, local educational board or district policies, and any other relevant laws governing data protection.
Other Regulatory Requirements: Any local, state, or federal laws governing your specific use case.
Razor Sparrow is committed to compliance with applicable data privacy laws and implements safeguards to protect student data in accordance with COPPA, CIRPA, SOPPA, FERPA, and other relevant regulations as outlined in our Privacy Policy. However, you are responsible for ensuring that your use of the Service, including how you input, store, or share data within the Service, meets the legal and regulatory requirements applicable to you and your institution. Failure to adhere to these responsibilities may result in the termination of your right to access or use the Service.
All content, software, text, graphics, logos, and other materials within Razor Sparrow’s Services are protected by copyright laws and other intellectual property rights. Razor Sparrow retains full ownership of all proprietary content within the Service. Unauthorized reproduction, modification, distribution, or display of any Razor Sparrow materials is strictly prohibited without prior written consent, except as expressly permitted under our Affiliate Program Agreement & Code of Conduct.
Razor Sparrow’s branding, name, visual identity, services, and associated materials—including but not limited to the names, logos, color schemes, design, layout, and overall appearance of Razor Sparrow’s content and services—are protected under applicable intellectual property laws. Users are strictly prohibited from engaging in activities that may constitute trademark infringement, passing off, or unfair competition in relation to Razor Sparrow or any of its individual services. This includes, but is not limited to:
Using identical or confusingly similar names, logos, color schemes, branding elements, or layouts that could mislead consumers regarding an affiliation with Razor Sparrow or any of its services, except where expressly permitted under our Affiliate Program Agreement & Code of Conduct.
Creating derivative works that misrepresent an association with Razor Sparrow or any of its products.
Replicating Razor Sparrow’s unique design, trade dress, website layout, service styling, or marketing materials in a way that causes consumer confusion.
Registering domain names, social media handles, or app names that impersonate, mimic, or are deceptively similar to Razor Sparrow or its services.
Affiliates who opt into Razor Sparrow’s Affiliate Program may use Razor Sparrow’s trademarks, logos, and branding elements only in strict accordance with the guidelines and permissions set forth in the Affiliate Program Agreement & Code of Conduct. Any unauthorized or misleading use of Razor Sparrow’s branding by affiliates or third parties is strictly prohibited and may result in termination from the program and/or legal action.
Razor Sparrow is in the process of obtaining patents for certain proprietary features and innovations within the Service. Users are prohibited from reverse engineering, copying, or attempting to replicate Razor Sparrow’s proprietary technology in a manner that infringes on any current or future patent protections.
Razor Sparrow reserves all rights to enforce its intellectual property protections to the fullest extent permitted by law.
Razor Sparrow may access, collect, analyze, and use data, information, or insights generated from the provision, use, and performance of the Service and related software, programs, and technologies (“Usage Data”) in accordance with our Privacy Policy and Data Processing Agreement. Razor Sparrow retains ownership of all such Usage Data.
If Razor Sparrow chooses to disclose any Usage Data, it will do so only in anonymized and aggregate form that does not identify you, your business, or your institution, nor allow any third party to determine your identity or affiliation.
Razor Sparrow may offer experimental or beta features for users to try. These features are provided for testing purposes and may not function as intended. They are subject to abrupt changes, unexpected behavior, or removal without notice. Other standard features of Razor Sparrow may not be tested for compatibility with experimental and beta features.
From time to time, users may have the option to participate in early release programs, gaining access to Beta Services, which may include new or developing features, services, or documentation. Beta Services are not generally available and are provided “as is” and “as available”, without any warranty of any kind. Razor Sparrow makes no guarantees regarding the performance, stability, or availability of Beta Services and disclaims all warranties, including but not limited to merchantability, title, non-infringement, and fitness for a particular purpose.
Neither party is obligated to continue the Beta Services, and either you or Razor Sparrow may terminate your access to Beta Services at any time, without notice.
User Contributions, including but not limited to comments, suggestions, reviews, forum posts, and publicly shared feedback, are considered non-confidential and non-proprietary. By submitting such User Contributions, you grant Razor Sparrow, its service providers, and their licensees, successors, and assigns, a perpetual, irrevocable, non-exclusive, fully-paid up, royalty-free, worldwide, transferable, and sub-licensable license to use, reproduce, modify, perform, display, distribute, and otherwise disclose such contributions for the sole purpose of fulfilling Razor Sparrow’s obligations under these Terms.
Razor Sparrow is not responsible for the content or accuracy of User Contributions, nor do we endorse third-party submissions. While Razor Sparrow reserves the right to remove or modify contributions that violate these Terms, we assume no obligation to do so.
By submitting User Contributions, you represent and warrant that:
You own or control all rights to the content you submit and have the authority to grant Razor Sparrow the rights outlined in these Terms.
Your submissions comply with these Terms and do not infringe on any intellectual property rights, privacy rights, or applicable laws.
You are solely responsible for the legality, reliability, accuracy, and appropriateness of your User Contributions.
Support Tickets and other direct user communications submitted to Razor Sparrow for troubleshooting, technical support, or service inquiries are not considered public User Contributions and are handled with care and confidentiality.
When submitting support requests, including screenshots, videos, or logs:
Razor Sparrow acknowledges that such submissions may contain sensitive information, including personally identifiable student data.
Razor Sparrow does not claim ownership over Support Ticket content and will not use, sell, or disclose support-related submissions except as necessary to provide assistance, improve the Service, or comply with legal obligations.
Razor Sparrow implements reasonable security measures to protect Support Ticket content but advises users to redact any unnecessary sensitive information when possible before submitting.
By submitting a Support Ticket, you acknowledge and consent that Razor Sparrow's support team may access, review, and retain submitted content solely for troubleshooting and service improvement.
Users are strictly prohibited from posting or submitting User Contributions that:
Are unlawful, threatening, abusive, harassing, defamatory, deceptive, or fraudulent.
Contain graphic descriptions of sexual or violent content.
Victimize, harass, degrade, or intimidate individuals or groups based on race, ethnicity, gender, sexual orientation, disability, age, religion, or other protected categories.
Infringe on intellectual property rights, including patents, trademarks, copyrights, trade secrets, or rights of publicity.
Compromise security by breaching, attempting to breach, or otherwise allowing unauthorized access to restricted areas of the Service or other networks or servers.
We encourage users to provide Feedback, including reviews, suggestions, and recommendations. By submitting Feedback, you acknowledge and agree that:
Feedback is provided voluntarily, non-confidentially, and gratuitously.
Razor Sparrow has no obligation to use the submitted Feedback.
You grant Razor Sparrow and its designees a perpetual, irrevocable, non-exclusive, fully-paid up, royalty-free license to use, modify, prepare derivative works, and distribute the Feedback without restriction, compensation, or notification to you or any third party.
Razor Sparrow may incorporate Feedback into its Service or other products without limitation.
You irrevocably release and forever discharge Razor Sparrow from any and all claims, actions, liabilities, and demands arising from the use of your Feedback. You agree that you are responsible for the content of your submissions and further agree to defend, indemnify, and hold Razor Sparrow harmless from any claims, losses, damages, liabilities, or expenses—including attorney fees—that arise from or relate to the use of your Feedback in accordance with these Terms.
Razor Sparrow offers a Certification Program for users who successfully complete certification exams, indicating expertise in the Service. Certification badges:
Are unique to the individual who earned them and do not apply to an entire institution.
Do not indicate endorsement, promotion, or affiliation by Razor Sparrow.
May not be misrepresented or falsely displayed on websites, social media, or elsewhere.
Razor Sparrow makes no representations, warranties, or guarantees regarding any business opportunities, partnerships, or transactions that may arise from certification. We do not endorse, validate, or assume responsibility for the success, legitimacy, or outcomes of any such engagements. Additionally, Razor Sparrow is not responsible for whether educational institutions recognize or accept the professional development hours associated with completing certifications. Recognition and acceptance are solely at the discretion of the respective institution or governing body.
Participants must not:
Misrepresent themselves as Razor Sparrow employees or contractors.
Claim affiliation or a business relationship with Razor Sparrow beyond certification credentials.
Use the Certification Directory to solicit or recruit other certified individuals for personal business.
Engage in any conduct inconsistent with the spirit of the Certification Program.
Razor Sparrow reserves the right to revoke certification and terminate participation in the program at any time, at its sole discretion, for any reason, including violations of these Terms.
You represent and warrant that, when using the Service, you will comply with the Code of Conduct set forth in Exhibit A. Razor Sparrow reserves the right to enforce compliance with its Code of Conduct and may take any necessary actions, including terminating your Service Account, if you violate these terms.
Your use of the Service (including any associated content or software) is at your sole risk. The Service is provided "as is" and "as available" without warranties of any kind. Razor Sparrow expressly disclaims all warranties, whether express, implied, or statutory, including but not limited to:
Merchantability, fitness for a particular purpose, title, and non-infringement.
Accuracy, performance, or availability of the Service.
Error-free operation, uninterrupted access, or correction of defects.
Security, reliability, or compatibility with specific technologies or devices.
You agree to use the Service responsibly and avoid any use that might result in data loss, corruption, or disruption.
Under no legal theory, including negligence, shall Razor Sparrow, its successors, affiliates, contractors, employees, licensors, partners, members, or agents be liable to you for any:
Direct, indirect, incidental, special, consequential, or punitive damages.
Loss of data, profit, goodwill, or business opportunities.
Service disruptions, unauthorized access, or third-party service failures.
In no event shall Razor Sparrow’s aggregate liability exceed the total fees paid by you for the Service in the 12 months preceding the claim. Some jurisdictions prohibit the exclusion or limitation of liability for certain damages, so some of these limitations may not apply to you.
You agree to defend, indemnify, and hold Razor Sparrow harmless from and against any claims, damages, losses, liabilities, costs, and expenses (including attorneys’ fees) arising from:
Your access to, use, or misuse of the Service.
Your violation of these Terms, including any legal or regulatory breaches.
Any infringement of third-party rights, including intellectual property, privacy, or proprietary rights.
Any claim or cause of action arising from or related to these Terms must be filed within three (3) months of the event giving rise to the claim. Failure to do so results in a permanent waiver of the claim.
Except as otherwise stated, these Terms constitute the entire agreement between you and Razor Sparrow regarding the Service, superseding all prior agreements, understandings, or representations. Razor Sparrow may enter into separate written agreements with you, which shall take precedence over these Terms in case of conflict.
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Puerto Rico, without regard to conflict-of-law principles. Any legal dispute shall be exclusively brought before the federal courts of the United States in Puerto Rico or the courts of the Commonwealth of Puerto Rico.
Failure to enforce any provision of these Terms shall not constitute a waiver of rights. If any provision is held invalid, illegal, or unenforceable, it shall be modified or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
Competitor shall include, but not be limited to, any entity carrying on a business of or offering one or more services offered by the Service, or any entity carrying on a business similar to the business of Razor Sparrow LLC, as determined by Razor Sparrow in its sole discretion.
Feedback means ideas You provide to Razor Sparrow regarding improvements, enhancements, new features, new products, or other concepts related to the Service, or other matters related to Razor Sparrow or its affiliates’ business. “Feedback” includes any ideas or communication written to, or posted to or about Razor Sparrow.
Fees means any fees associated with the Service, including but not limited to the monthly or annual subscription services fee and any fees associated with add-in Services that you may purchase.
Information means data about You that Razor Sparrow collects on the Service, including but not limited to information required to create a Service Account and use the Service for the intended purpose.
Login Credentials means the username and password used to access your Service Account, including API keys, tokens, and access to third-party integrations used with the Service.
Prohibited Uses means the behaviors described in Exhibit A.
Razor Sparrow Marks means the Razor Sparrow name and related logos and service marks of Razor Sparrow.
Service(s) means the variety of service integrations and services that Razor Sparrow makes available on the Service. Services may include Third-Party Services, Training, content, functionality, communication channels, and software or other services or features offered to customers on or through Razor Sparrow's websites or extensions.
Service Account means the account you created in order to access and use the Service.
Service Content means content, data, features, and functionality, including but not limited to text, graphics, videos, logos, button icons, databases, music, sounds, images, or other material that can be viewed on the Service. Service Content does not include User Contributions.
Third-Party Content means content, promotions, or offers provided by third parties or links to external third-party websites that may be accessible on the Service.
Third-Party Services means third-party websites, databases, networks, servers, information, software, programs, systems, directories, applications, or products or services offered by a third party through the Service Platform. This includes but is not limited to downloaded applications, added browser extensions, and other integrations with third-party applications, or any functionality that is provided by a third party through the Service.
Training means any training, information, or suggested usages conveyed by Razor Sparrow about the Service.
User Contributions means content or materials that you post, submit, upload, publish, display, or transmit on or through the Service or to Razor Sparrow directly.
You or you or any derivatives thereof mean the individual who accepted the Terms or the business entity or educational institution that the individual represents. “You” also includes any and all agents, employees, or third parties that are authorized to act on your behalf.
The following are considered Prohibited Uses of the Service. Engaging in a Prohibited Use is a material breach of these Terms for which Razor Sparrow may immediately suspend or terminate your Service Account in accordance with these Terms:
Use of the Service in any way that violates any applicable law or regulation.
Use of the Service to exploit, harm, or attempt to exploit or harm anyone in any way.
Use of the Service to send, receive, upload, download, use, or re-use any material that does not comply with these Terms.
Use of the Service to transmit, or procure the sending of any unlawful advertising or promotional material, including any “junk mail,” “chain letter,” “spam,” or any other similar solicitation.
Impersonating or attempting to impersonate Razor Sparrow, a Razor Sparrow employee, another user, or any other person or entity (including, without limitation, by using email addresses associated with any of the foregoing).
Engaging in any conduct that restricts or inhibits anyone's use or enjoyment of the Service.
Engaging in any conduct that may, as determined by Razor Sparrow, harm Service users or Razor Sparrow, or expose either to liability.
Use of the Service in any manner that could disable, overburden, damage, or impair the Service or interfere with any other party's use of the Service, including their ability to engage in real-time activities through the Service.
Use of any robot, spider, or other automatic device, process, or means to access the Service for any purpose, including monitoring or copying any of the material on the Service.
Use of any manual process to monitor or copy any of the material on the Service or for any other unauthorized purpose without Razor Sparrow's prior written consent.
Use of any device, software, or routine that interferes with the proper working of the Service.
